Preface
Welcome to use AI Computing Cloud Services!
This agreement is a contract entered into between AI Computing Cloud and you regarding your use of AI Computing Cloud services. To use AI Computing Cloud services, you should fully read and understand this agreement, among which limitations, disclaimers, or other clauses involving your major rights and interests (such as penalties for breach of contract, dispute jurisdiction, etc.) may be highlighted in bold or underlined to draw your attention.
Unless you have fully read, understood, and agreed to accept and abide by this agreement, please do not use AI Computing Cloud services. If you confirm through the webpage or expressly or implicitly indicate acceptance of this agreement in any other way, or use AI Computing Cloud services in any way, it shall be deemed that you have read and agreed to be bound by this agreement, and this agreement shall have legal effect between you and AI Computing Cloud.
The use of AI Computing Cloud services shall comply with this agreement and its service rules. The service rules are subject to the content displayed on the AI Computing Cloud official website or other relevant pages. You should understand the service rules in advance and operate according to the service rules to ensure smooth use.
Article 1 General Provisions
1.1 Service Definition
AI Computing Cloud services refer to various products and services provided by AI Computing Cloud, such as cloud servers and cloud data storage (subject to what is actually provided by AI Computing Cloud). You can choose to use one or more specific services according to your needs and abide by their service rules.
1.2 Service Rules
Service terms, rules, instructions, standards, etc. (collectively referred to as "Service Rules") involving the service content, service level, technical specifications, operation documents, billing standards, etc., of specific services are subject to the content displayed on the AI Computing Cloud official website or other relevant pages.
1.3 Neutrality Declaration
AI Computing Cloud is a neutral technical service provider that provides various technical products and services to you in accordance with the agreement; you are solely responsible for the operation and all liabilities of your websites, applications, software, platforms, and any other products, services, and related content.
1.4 Legal Qualification Guarantee
Both parties guarantee that they have obtained legal business qualifications or government approvals in accordance with relevant national regulations and have the right to operate their products and services in accordance with the law. Both parties further guarantee that they will maintain the business qualifications or approval procedures required by relevant national regulations during the validity period of this agreement.
Article 2 Account
2.1 Registration Qualification
You should possess necessary and appropriate capacity for civil rights and civil conduct in accordance with the law, complete registration according to the requirements of AI Computing Cloud, and obtain an AI Computing Cloud service account (hereinafter referred to as "Account").
2.2 Account Security
To protect the security and independence of the account and avoid adverse consequences such as unclear account ownership, you should use a mobile phone number to which you have legal rights for registration or login; otherwise, it may cause you to be unable to log in and use AI Computing Cloud services normally.
2.3 Authenticity of Information
You should fill in and submit specific, legal, and valid information (collectively referred to as "Customer Information") according to the AI Computing Cloud service process, including but not limited to enterprise name, email address, contact phone number, etc.; if the customer information changes, you should notify AI Computing Cloud in writing in a timely manner or update it yourself according to the rules of AI Computing Cloud. We attach great importance to protecting your privacy. We will provide services in accordance with our privacy policy, which can be viewed at the following link: Privacy Policy.
2.4 Account Responsibility
The validity of this agreement applies to all accounts under your name and sub-accounts under the main account. The account will serve as the basis for identifying your identity when using AI Computing Cloud services. You should take necessary and effective confidentiality and security protection measures for information such as usernames and passwords (including but not limited to: keeping usage permissions, setting high-strength passwords, and regularly changing measures, etc.); otherwise, the consequences caused shall be borne by you. In addition, you shall be responsible for the behaviors under the account, and all operational behaviors under the account shall be deemed to be carried out by you, and you shall bear all legal consequences.
2.5 Handling of Account Security Incidents
If you find that others have misappropriated your account and password, or any other circumstances not legally authorized by you, you should immediately notify AI Computing Cloud in an effective manner and provide necessary materials (such as customer information, situation explanation, proof materials, and appeals, etc., so that AI Computing Cloud can verify identity and incidents). After receiving your effective notice and verifying your identity, AI Computing Cloud will handle it in accordance with laws, regulations, and service rules. The relevant responsibilities and consequences arising from the handling by AI Computing Cloud in accordance with this article shall be borne by you.
If there are defects in the materials you provide, leading to AI Computing Cloud being unable to verify your identity or judge your needs, etc., resulting in AI Computing Cloud failing to handle it in time, the losses caused to you shall be borne by you. At the same time, you understand that AI Computing Cloud needs a reasonable period to process your request. AI Computing Cloud shall not be liable for any losses you have incurred before AI Computing Cloud takes measures and losses caused by reasons not attributable to AI Computing Cloud after taking measures.
Article 3 Services
3.1 Service Activation
3.1.1 Service Selection
You can purchase the required services online through the AI Computing Cloud official website according to your own needs. Before purchasing, you need to carefully read the service rules corresponding to the purchased services and decide whether to purchase or use them according to your own needs. Both parties can also sign separate agreements according to actual cooperation needs.
3.1.2 Service Agreement
The activation of some AI Computing Cloud services may require both parties to sign a separate service agreement. The separate service agreement may be displayed in the form of an electronic document or an independent paper document. You can decide whether to accept the service agreement and activate the service according to your own situation.
3.1.3 Timely Payment
You need to complete the payment in time after the order is submitted. Some services may have time limits, inventory limits, or activity quantity limits. After the order is submitted, if you fail to pay in time, or if the quantity is insufficient or the limit has been reached during the payment period, you may not be able to use the relevant services.
3.1.4 Preferential Measures
AI Computing Cloud may launch preferential measures such as "limited-time free," "limited-time discount," "limited-quantity discount," "recharge discount," and gift services (hereinafter collectively referred to as "Preferential Measures") within a specific period due to various reasons such as marketing activities and product promotion. You understand and agree that these preferential measures may be temporary, staged, or limited in quantity, and may also only apply to customers who meet specific conditions. You need to purchase and use the corresponding services according to the corresponding rules. Unless otherwise explicitly stated in writing, preferential measures cannot be applied simultaneously.
3.2 Service Fees
3.2.1 Settlement Method
The settlement method of AI Computing Cloud services may be divided into prepaid and postpaid types. To ensure that the service is activated in time or provided continuously, you should abide by this agreement and the service rules of the services you use and pay the fees in time. After some AI Computing Cloud services are activated (such as cloud servers, cloud storage, etc.), even if you do not add new service items or resources or perform new operations, since this part of the service will continuously occupy resources, deductions will continue to be generated. You should renew or close the service in time.
3.2.2 Preferential Conditions
Preferential measures are set based on specific conditions, such as preferential measures for products with specific configurations, preferential measures that you can only enjoy if you use products of a specific period or quantity at one time (such as monthly subscription discounts), etc. If you ultimately do not meet the specific conditions, you will not be able to enjoy the corresponding discounts (including but not limited to discounts, voucher gifts, etc.), and both parties need to settle the fees according to the official website original price of the corresponding service at the time of purchase.
3.2.3 Payment Method
You can pay online or recharge and renew through your account. Or, after consensus is reached by both parties through negotiation, pay fees to AI Computing Cloud through online payment methods (to ensure the continuity of services, if you choose to pay fees offline, you should reserve reasonable time for AI Computing Cloud to verify the arrival of funds and complete your account recharge).
3.2.4 Bill Confirmation
For services settled by natural month, after AI Computing Cloud provides you with the payment bill for the previous month, you must check and confirm or raise objections within 5 working days. If AI Computing Cloud does not receive your confirmation or objection within 5 working days, it is deemed that you have no objection; if you have an objection, it shall be resolved through friendly negotiation between both parties. If negotiation fails, the AI Computing Cloud system data shall prevail.
3.2.5 Invoice Issuance
If sales allowances, sales returns, or other situations requiring the issuance of red-letter invoices or re-invoicing in accordance with national regulations occur under this agreement, AI Computing Cloud needs to issue red-letter invoices or re-invoice to you in accordance with national tax regulations. You need to return the invoices already issued by AI Computing Cloud in accordance with national tax regulations or submit valid proof to the tax bureau requiring AI Computing Cloud to issue red-letter special invoices.
3.2.6 Payment Processing
Payments are made on the website, including third-party payments (such as Alipay, WeChat) or corporate payments. The agreement of the payment processor or credit card company will govern your use of the designated account or credit card, and you must refer to that agreement rather than these terms to determine rights and responsibilities related to that agreement, account, and activity. You agree to immediately notify us of any changes regarding your billing address or the account or credit card used for payment. All fees are non-refundable (such as cases where deductions are still made because generated content fails review), excluding any applicable taxes, which are the sole responsibility of the customer. In addition to taxes related to our income, you will indemnify us for any taxes related to your purchase or use of the service. You have the right to apply to us for an invoice, and we will have dedicated personnel to handle your relevant needs.
3.3 Service Support
3.3.1 After-sales Service
AI Computing Cloud provides you with after-sales service to assist you in answering and handling problems encountered during the use of AI Computing Cloud services.
3.3.2 Security Protection
AI Computing Cloud will take basic security protection measures for its systems, equipment, etc., in accordance with laws and regulations. If your requirements for security protection measures are higher than the aforementioned basic security protection measure standards, you have the right to purchase security protection services with higher configurations or separately configure other security protection software, systems, etc., according to your own needs.
3.3.3 User Security Responsibility
You should take necessary and effective security protection measures for the computer information systems, equipment, etc., you use. You shall be solely responsible for any damage to your rights and interests caused by your failure to take the aforementioned measures.
3.3.4 Availability Guarantee
AI Computing Cloud provides availability guarantees within the agreement of the service rules. If your requirement for availability is higher than the service rules, you need to proactively set up high availability for your own system, and AI Computing Cloud can provide necessary assistance. If AI Computing Cloud is required to cooperate in the design, it shall be separately negotiated and confirmed by both parties.
3.4 Service Suspension or Termination
3.4.1 Routine Maintenance
In order to provide you with more perfect services, AI Computing Cloud has the right to overhaul, maintain, upgrade, and optimize the service platform or related equipment, systems, software, etc., regularly or irregularly (collectively referred to as "Routine Maintenance"). If routine maintenance causes AI Computing Cloud services to be interrupted or suspended within a reasonable time, AI Computing Cloud does not need to bear responsibility to you for this. However, AI Computing Cloud shall notify you of routine maintenance matters at least 24 hours in advance. If non-routine maintenance is caused by force majeure, faults of basic operators, etc., AI Computing Cloud shall notify you in time.
3.4.2 Service Adjustment
To ensure the security and stability of services, AI Computing Cloud may perform major adjustments such as computer room migration and equipment replacement. The aforementioned circumstances may cause AI Computing Cloud services to be interrupted or suspended within a reasonable time. AI Computing Cloud does not need to bear responsibility to you for this, but AI Computing Cloud shall notify you 3 days in advance, and you should cooperate; if you do not cooperate with the adjustment, or if AI Computing Cloud cannot contact you, the consequences arising therefrom shall be borne by you.
3.4.3 Data Retention
If the specific service you purchased contains storage functions, after the expiration or termination of the service, AI Computing Cloud will retain any information such as data you stored in the service for a corresponding period according to the service rules of that service. You should bear the expenses (if any) incurred during the retention period, and settle the fees on time and complete the migration of all data. After the retention period expires, your aforementioned information will be deleted.
3.4.4 Service Termination
You can decide to cancel your account at any time (contact email: contact@chipltech.com). AI Computing Cloud has the right to adjust or terminate part or all of the services (including but not limited to taking services offline, iterating, integrating, etc.) at any time according to its own operational arrangements. However, AI Computing Cloud shall notify you at least 3 days in advance so that you can prepare for relevant data transfer backup and business adjustments to protect your legitimate rights and interests.
3.4.5 Agreement Adjustment
Based on the characteristics of network services such as timeliness, complexity, and high efficiency, as well as regulatory requirements, policy adjustments, and other reasons, you agree that AI Computing Cloud may adjust this agreement and relevant service rules of AI Computing Cloud from time to time and announce them through one or more of website announcements, email notifications, SMS notifications, system messages, internal messages, etc.; if you continue to use AI Computing Cloud services after the adjustment, it means that you have fully read, understood, and accepted the modified content and will also follow the modified content.
3.4.6 Overseas Services
If you choose to use services outside of mainland China, you should ensure that you comply with the requirements of laws, regulations, and policies of mainland China. At the same time, you should also ensure that your qualifications, capabilities, and usage behaviors comply with the requirements of local laws, regulations, and policies.
Article 4 Customer Rights and Obligations
4.1 Rights
You have the right to use AI Computing Cloud services in accordance with this agreement and obtain technical support and after-sales service from AI Computing Cloud.
4.2 Obligations
When using services on the AI Computing Cloud platform, you must comply with relevant laws, regulations, and service rules, and ensure that you possess the business qualifications and capabilities required by laws and regulations. You shall not implement behaviors including but not limited to the following, nor shall you facilitate any behaviors that violate laws and regulations; otherwise, AI Computing Cloud has the right to ban the account and pursue legal losses caused to AI Computing Cloud by you:
- Opposing the basic principles established by the Constitution.
- Using the provided services for virtual currency "mining."
- Endangering national security, leaking state secrets, subverting state power, or undermining national unity.
- Damaging national honor and interests.
- Inciting ethnic hatred, ethnic discrimination, or undermining ethnic unity.
- Undermining national religious policies or propagating cults and feudal superstition.
- Spreading rumors, disrupting social order, or undermining social stability.
- Spreading obscenity, pornography, gambling, violence, murder, terror, or instigating crimes.
- Insulting or slandering others, or infringing upon the legitimate rights and interests of others.
- Implementing any behavior that violates the "Seven Bottom Lines."
- Containing other contents prohibited by laws and administrative regulations.
- Using the platform invitation reward system to exploit promotions ("wool-gathering"), maliciously register accounts, batch register false accounts, or use any form of abnormal means to obtain platform resources/benefits.
4.3 Internet Order and Safety
When using services on the AI Computing Cloud platform, you must maintain Internet order and safety, shall not infringe upon the legitimate rights and interests of any subject, and shall not implement behaviors including but not limited to the following, nor facilitate them:
- Implementing fraud, false or misleading behaviors, or behaviors that infringe upon the intellectual property rights or other legitimate rights and interests of others, such as "private servers," "plug-ins," etc.
- Publishing or spreading spam (SPAM) or information containing violations of laws and regulations such as endangering national order and safety, feudal superstition, obscenity, pornography, vulgarity, etc.
- Violating the operating regulations of networks, equipment, or services connected to the AI Computing Cloud network; implementing illegal or unauthorized access, theft, interference, or monitoring.
- Implementing any behavior that destroys or attempts to destroy network security, including but not limited to malicious scanning of websites and servers, illegal intrusion into systems, illegal acquisition of data, etc., by means of viruses, Trojans, malicious codes, phishing, etc.
- Implementing any behavior that changes or attempts to change the system configuration provided by AI Computing Cloud services or destroys system security; using technology or other means to destroy or disrupt the operation of AI Computing Cloud services or the use of AI Computing Cloud services by others; interfering or attempting to interfere with the normal operation of any product or any part or function of AI Computing Cloud in any way, or making, publishing, or spreading the above tools, methods, etc.
- Because of engaging in any business including but not limited to "DNS resolution," "security services," "domain name proxy," "reverse proxy," etc., causing you to frequently suffer attacks (including but not limited to DDoS attacks) and failing to correct the behavior in time, or failing to eliminate the impact according to the requirements of AI Computing Cloud, thereby affecting the AI Computing Cloud service platform or others.
- Implementing other behaviors that destroy Internet order and safety.
4.4 Payment of Fees
You should pay the fees in a timely and full manner according to the service rules. If you fail to pay the fees in a timely and full manner, AI Computing Cloud has the right to refuse to activate the service or suspend or terminate the service without further notice, and can take one or more of the following measures:
- Require you to pay liquidated damages to AI Computing Cloud at a rate of 1‰ of the owed fees for each day of delay in addition to paying the payable fees according to the agreement, until all fees are paid.
- If your overdue payment exceeds 15 days, AI Computing Cloud has the right to take measures including but not limited to unilateral termination of the agreement in advance at any time without further notice to you.
- If your payment is overdue but you have used prepaid services or your account has an unconsumed cash balance, AI Computing Cloud has the right to directly use the prepaid fees and cash balance to deduct the arrears and liquidated damages without further notice to you.
- Delete part or all of the information and data stored or generated by you based on the use of AI Computing Cloud services.
Article 5 Rights and Obligations
5.1 AI Computing Cloud's Obligations
AI Computing Cloud shall provide AI Computing Cloud services and after-sales support to you in accordance with this agreement.
5.2 AI Computing Cloud's Guarantees
AI Computing Cloud only provides operation and maintenance for the AI Computing Cloud service itself. You should ensure the security and stability of your own network and equipment. If the following situations occur, you should resolve them in time and avoid affecting AI Computing Cloud services:
- Problems occur in your internal network, including but not limited to overload, etc.
- Your own equipment or third-party equipment you use malfunctions.
- You detach the equipment yourself or cause network interruption through other means.
- Any other failures, network interruptions, etc., caused by your own reasons.
5.3 AI Computing Cloud's Supervision
If AI Computing Cloud discovers by itself or based on information from relevant departments, complaints from rights holders, etc., that you may have violated relevant laws and regulations or this agreement, AI Computing Cloud has the right to make independent judgments based on general cognition and unilaterally take one or more of the following measures at any time:
- Require you to immediately delete or modify relevant content.
- Restrict or suspend the provision of all or part of AI Computing Cloud services to you (including but not limited to directly taking part of your services offline and reclaiming relevant resources, taking measures such as operation restrictions/account freezing on your account).
- Terminate the provision of AI Computing Cloud services to you and terminate the agreement (including but not limited to directly taking all your services offline and reclaiming relevant resources, etc.).
- If AI Computing Cloud terminates the provision of services to you or terminates the agreement based on this agreement, the fees you prepaid will belong to AI Computing Cloud as liquidated damages.
- Pursue your other responsibilities in accordance with the law.
AI Computing Cloud taking corresponding measures (including but not limited to suspending services, deducting fees, terminating the agreement, etc.) in accordance with this agreement shall not be deemed as a breach of contract by AI Computing Cloud. If it causes losses to you (including but not limited to business suspension, data clearing, etc.), you shall bear them yourself. The responsibilities and consequences arising from your violation of this agreement shall be borne by you. If it causes losses to AI Computing Cloud or a third party, you shall compensate.
5.4 AI Computing Cloud's Complaint Response and Negotiation Process
In order to reasonably protect the interests of you, your users, and rights holders, AI Computing Cloud has the right to formulate special infringement and complaint process systems, which you shall abide by. If AI Computing Cloud receives a complaint or report against you from a third party, AI Computing Cloud has the right to disclose your relevant information to the third party (such as your subject information and all materials such as counter-notifications and relevant evidence submitted by you regarding the complaint or report), and require you to negotiate with the complainant (including but not limited to establishing a three-party email group containing you, AI Computing Cloud, and the complainant for direct communication and mutual evidence between you and the complainant, the same below). If you complain or report other AI Computing Cloud customers, AI Computing Cloud also has the right to disclose your relevant information to the respondent (such as your subject information and all materials such as notifications and relevant evidence submitted by you regarding the complaint or report), and require you to negotiate with the respondent so as to resolve complaints and disputes in a timely manner and protect the legitimate rights and interests of all parties. You shall cooperate; otherwise, it may affect your continued use of AI Computing Cloud services, and any losses caused to you or others thereby shall be borne by you.
Article 6 Customer Data
6.1 Data Legality
You guarantee that the data you store and upload to AI Computing Cloud services, or process using AI Computing Cloud services in any way such as analysis and distribution, is data collected, obtained, or generated by you in accordance with the law, and you will not and have not infringed upon the legitimate rights of any individual or entity in any way.
6.2 Data Usage Authorization
You guarantee that you have the right to use AI Computing Cloud services to store, upload, analyze, and distribute the aforementioned data, and the aforementioned processing activities all comply with the requirements of relevant laws and regulations, do not exist in any situation of violation of laws, infringement, or violation of contracts with third parties, and will not use data for illegal purposes.
6.3 Data Processing Permissions
You have the right to use AI Computing Cloud services to upload, analyze, delete, and modify data (subject to the service rules of the services you use). Regarding the deletion, modification, and other processing of data, you should operate cautiously and bear the consequences arising from such operations.
6.4 Data Access Restrictions
Except as required for your use of AI Computing Cloud services and otherwise stipulated by laws and regulations, AI Computing Cloud will not access or use your data without your consent.
6.5 Data Backup Obligations
You should back up data yourself according to your own needs. AI Computing Cloud only provides data backup services in accordance with relevant laws and regulations or service rule agreements. AI Computing Cloud only bears responsibility within the scope of data backup services provided by law or agreement.
6.6 Assumption of Data Liability
You shall be solely responsible for all results and liabilities caused by any violation of laws and regulations in the generation, collection, processing, use, etc., of your data. Furthermore, AI Computing Cloud has the right to terminate the provision of AI Computing Cloud services to you in whole or in part at any time. All losses suffered or all liabilities and expenses incurred by you as a result shall be borne by you.
Article 7 Export Control and Sanctions Law Compliance
Each party undertakes to comply with all applicable economic and trade sanctions and export control laws and regulations, including all sanction resolutions, laws, and regulations formulated and executed by the United Nations Security Council, China, the United States, and any other country, as well as export control laws and regulations (to the extent that the aforementioned documents apply to that party) (hereinafter referred to as "Applicable Export Control Laws"). You undertake not to use the products or services provided by AI Computing Cloud for purposes prohibited by applicable export control laws. Without the permission of relevant competent authorities, you and individuals or entities authorized by you to use products or services provided by AI Computing Cloud will not provide controlled technologies, software, or services to individuals or entities sanctioned or designated by applicable export control laws through products or services provided by AI Computing Cloud, or cause AI Computing Cloud to violate applicable export control laws in any way.
Article 8 Limitation of Liability
8.1 Service Interruption
You understand and agree that the service may be interrupted due to the following circumstances during the use of AI Computing Cloud services. When the following circumstances occur, AI Computing Cloud shall cooperate with relevant units in time to repair, but AI Computing Cloud shall be exempted from liability for losses caused to you thereby.
- Force majeure, including but not limited to natural disasters, government actions, promulgation and adjustment of laws and regulations, strikes (excluding internal labor disputes of either party), turmoil, and other objective circumstances that cannot be foreseen, avoided, and overcome.
- Causes of basic operators, including but not limited to technical adjustments by telecommunications departments, destruction of telecommunications/power lines by others, and installation, transformation, and maintenance of telecommunications networks/power resources by telecommunications/power departments.
- Network security accidents, such as the destruction of computer viruses, Trojans, or other malicious programs, and hacker attacks.
- You use AI Computing Cloud services in a way not authorized by AI Computing Cloud, your operation is improper, or your computer software, system, hardware, and communication lines fail.
- Other circumstances that are not the fault of AI Computing Cloud and that AI Computing Cloud cannot control or reasonably foresee.
8.2 Agreement Delay
Due to force majeure, causes of basic operators, network security accidents, or other events beyond the reasonable control of the parties, causing delay in the performance of this agreement or breach of contract by either party, neither party needs to bear liability for breach of contract. However, the affected party should notify the other party as soon as possible. If the aforementioned event prevents the performance of the agreement for more than 30 days, either party may terminate the agreement by notifying the other party in writing 15 days in advance. If the agreement is terminated due to this clause, neither party needs to bear liability for breach of contract.
8.3 Service Defects
You understand and agree that AI Computing Cloud's services are provided according to the status quo that can be achieved by existing technologies and conditions. AI Computing Cloud will do its best to ensure the continuity and security of services, but AI Computing Cloud cannot guarantee that the services it provides are flawless. Therefore, even if the services provided by AI Computing Cloud have defects, if the above defects are unavoidable by the technical level of the industry at that time, it will not be regarded as a breach of contract by AI Computing Cloud, and AI Computing Cloud does not need to bear any responsibility. Both parties should cooperate appropriately to solve the problem together.
8.4 Damages
Under no circumstances shall either party be liable to the other party for any indirect, incidental, special, or punitive damages and losses (such as loss of profit, loss of opportunity, fees paid to third parties, loss or damage to reputation/goodwill, etc.), regardless of whether based on contract, warranty, tort, or any other theory of liability, and regardless of whether either party knows or should know the possibility of such loss or damage.
8.5 Liability for Compensation
Under any circumstances, the total amount of liability for compensation (whether based on contract, tort, or any other liability theory) assumed by AI Computing Cloud to you based on this agreement and relevant orders and AI Computing Cloud services shall not exceed the total amount of fees you have paid to AI Computing Cloud for the AI Computing Cloud service that caused your loss; if the service period of the corresponding AI Computing Cloud service that caused your loss exceeds 12 months, the maximum liability for compensation of AI Computing Cloud shall not exceed the total amount of fees you have paid to AI Computing Cloud for the AI Computing Cloud service that caused your loss in the 12 months prior to the occurrence of the damage (for the avoidance of ambiguity, the fees here refer to the cash actually paid by you for the duration/quantity, etc., of actual use of the service, excluding vouchers, prepaid but not actually consumed fees, etc.). If this clause conflicts or is inconsistent with other agreements between the parties or AI Computing Cloud service rules, this clause shall prevail.
Article 9 Notice and Service
9.1 Validity of Customer Information
You shall ensure and maintain the validity of customer information (including but not limited to contact information such as phone numbers and email addresses). If the customer information is false, invalid, or exists in any way that may cause you to be unable to receive business notices, service prompts, customer service, technical support, dispute coordination, violation penalties, and other information in time, you shall bear the corresponding responsibilities yourself.
9.2 Notice Sending
You shall send notices to AI Computing Cloud according to the contact information of AI Computing Cloud published on the AI Computing Cloud official website, unless otherwise agreed by both parties.
9.3 Business Notice
AI Computing Cloud may send you various information related to AI Computing Cloud services (including but not limited to updated service rules, service upgrades, computer room removal, advertisements, etc.) through one or more of website announcements, system notifications, internal messages, emails, mobile phone SMS, instant messaging tools, letters, etc. The aforementioned information is deemed to have been served in the following circumstances:
- If delivered by a designated person, it is deemed to have been served when the recipient signs for it.
- If published in the form of a webpage announcement, etc., it takes effect immediately upon publication (unless otherwise specified).
- If sent in electronic form (including system notifications, internal messages, emails, mobile phone SMS, instant messaging tools, etc.), it is deemed to have been served after being sent successfully.
- If delivered by a courier company with prepaid postage or by registered mail, it is deemed to have been served on the 3rd natural day after posting. If the service time is a statutory holiday, the first working day after service shall be the service day.
Article 10 Applicable Law and Dispute Resolution
10.1 Applicable Law
The formation, effectiveness, performance, interpretation, and dispute resolution of this agreement shall all be governed by the laws and regulations of mainland China (excluding conflict of laws).
10.2 Dispute Resolution
Any dispute arising from this agreement shall be settled through negotiation between both parties first; if the two parties fail to reach a settlement through negotiation, either party shall submit the dispute to the People's Court with jurisdiction in the place where this agreement is signed for adjudication. The undisputed parts shall continue to be performed.
Article 11 Others
11.1 Settlement Currency
Unless otherwise stated, all "days" in the text of this agreement and its attachments are natural days, and the settlement currency is RMB.
11.2 Language Application
This agreement is drafted and interpreted in Chinese. Unless otherwise agreed by both parties, any translation regarding this agreement shall not be used as a basis for interpreting this agreement or determining the intent of the parties.
11.3 Service Rules
The service rules are an important part of this agreement and have the same legal effect as the text of this agreement, and you should abide by them.
